Please read these Terms and Conditions carefully before using our website or engaging WebPino Softwares for any services. By accessing our website or signing a project agreement with us, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing webpinosoftwares.com or engaging WebPino Softwares for software development, design or consulting services, you confirm that:

• You have read and understood these Terms and Conditions
• You are at least 18 years of age or have the authority to enter into a business agreement
• You agree to be legally bound by these terms

If you do not agree with any part of these terms, please do not use our website or engage our services.

2. Services We Provide

WebPino Softwares provides custom technology solutions including but not limited to:

• Business website design and development
• E-commerce and marketplace platform development
• CRM and ERP software development
• Mobile app development (Android and iOS)
• SaaS product development and MVP builds
• AI integration and business automation
• Custom software development

The specific scope, deliverables and timeline for each project are defined in a separate project agreement or proposal document.

3. Client Responsibilities

To ensure the successful delivery of your project, you agree to:

• Timely feedback - provide feedback, approvals and required content within agreed timelines
• Accurate information - provide accurate business requirements, credentials and materials needed for the project
• Designated point of contact - maintain a primary contact person who can make decisions on your behalf
• Prompt payment - make payments as per the agreed schedule
• Legal compliance - ensure that any content, branding, data or instructions you provide do not violate applicable laws or third-party rights

Delays caused by failure to meet these responsibilities will not be considered a breach on WebPino Softwares' part and may affect project timelines and costs.

4. Intellectual Property

What You Own

Upon receipt of full and final payment, you receive full ownership of:

• Custom code and features written specifically for your project
• Design assets created exclusively for your brand
• Your content and data within the system

What We Retain

• Rights to open-source libraries, frameworks and third-party components used in your project
• Our internal development methodologies, processes and tools
• The right to reference your project in our portfolio and case studies, unless explicitly agreed otherwise in writing

Source code remains with WebPino Softwares until full payment is received.

5. Payment Terms

Payment schedules are defined in individual project agreements. Standard terms are:

• Advance payment - typically 30–50% before work begins, depending on project size
• Milestone payments - payments linked to defined project milestones
• Final payment - remaining balance before delivery of source code, deployment, or handover

Late payments may result in suspension of work. We reserve the right to charge a delay fee of 2% per month on overdue invoices. All payments are non-refundable for completed milestone deliverables.

6. Timeline & Delays

Project timelines provided in proposals are estimates based on the information available at the time. Timelines may be affected by:

• Delayed feedback, approvals or content from the client
• Changes in project scope (change requests will be scoped and priced separately)
• Third-party API or service dependencies outside our control
• Force majeure events

We will communicate delays proactively and work with you to find solutions. Timeline extensions due to client-side delays do not constitute a breach of contract by WebPino Softwares.

7. Confidentiality

Both parties agree to maintain confidentiality of all non-public business information shared during the project engagement. Specifically:

• We will not disclose your business requirements, data, credentials or project details to third parties without your explicit consent
• You agree not to share our internal processes, pricing structures or proprietary methodologies with competitors

This obligation survives the termination of the project engagement for a period of 3 years.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• WebPino Softwares shall not be liable for any indirect, incidental, special or consequential damages, including loss of profits, data or business opportunities
• Our total liability for any claim arising from services rendered is limited to the total amount paid for the specific service in question
• We are not responsible for third-party integrations (payment gateways, APIs, cloud services) that fail independently of our code

Post-launch issues arising from client-managed changes to the codebase or server environment are not covered under our liability.

9. Termination

Either party may terminate the project engagement with 14 days written notice. Upon termination:

• You are liable for payment for all work completed up to the termination date
• WebPino Softwares will deliver all completed work once outstanding payments are cleared
• Work in progress that is less than 50% complete at the time of termination is not deliverable but is billable at 50% of its milestone value

We reserve the right to terminate immediately in cases of abusive conduct, fraud, or non-payment.

10. Dispute Resolution

In the event of a dispute, both parties agree to:

• First attempt to resolve the matter amicably through direct communication within 30 days
• If unresolved, proceed to mediation before initiating legal proceedings

These terms are governed by the laws of India. Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan, India.

11. Changes to Terms

We reserve the right to update these Terms and Conditions at any time. The updated version will be posted on this page with a revised date. For ongoing project engagements, the terms in your signed project agreement take precedence. Continued use of our website after changes constitutes acceptance of the updated terms.
